Terms of Service

1. Agreement
These Terms of Service ("Terms") form a legally binding agreement between you ("Subscriber") and Ascendz Digital Limited, operated by Toni Martin ("we", "us", "our"), governing your access to and use of the Kestry platform ("Service") at app.kestry.co.
By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Kestry is a multi-tenant, multi-brand help desk and shared inbox platform that allows businesses to manage customer support email across multiple brands, publish a self-serve knowledge base, and organise work through a lightweight project and task workspace. Email is sent and received through our email provider, and optional AI assist features are available to help draft replies and summarise threads.
3. Eligibility and Registration
You must be at least 18 years old and have the authority to enter into these Terms on behalf of your business. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorised access at clientsupport@ascendz.co.
4. Plans, Pricing and Payment
Note: pricing is being finalised. The plan structure in this section is a placeholder to be confirmed before launch; tier names, prices, limits and any promotional offers will be set out here when confirmed.
4.1 Subscription Plans
The Service will be offered on monthly subscription tiers, billed in GBP, scaled by the number of brands, inboxes and agent seats included. [Tier names, monthly prices and included limits to be confirmed.] Paid plans will include a free trial of a length to be confirmed; a valid payment method will be required at signup and billing will begin automatically at the end of the trial unless cancelled.
4.2 Billing, Cancellation and Refunds
Subscriptions are billed in advance via Stripe. By providing payment details you authorise us to charge you on a recurring basis. You may cancel at any time via your account's billing settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a billing period except where required by law.
4.3 Failed Payments
If a subscription payment fails, we will notify you by email. Continued failure to pay may result in suspension or downgrade of your account.
5. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited messages or bulk commercial communications
- Harass, abuse, threaten or harm any person
- Distribute malware, phishing content or fraudulent material
- Violate any applicable law or regulation, including data protection laws
- Infringe any third-party intellectual property rights
- Impersonate any person or entity
- Scrape, reverse-engineer or attempt to access our systems beyond your authorised account
We reserve the right to suspend or terminate accounts that violate these rules without refund.
6. Third-Party Services
The Service integrates with third-party platforms including our hosting and database providers, our email provider, our AI provider (Anthropic) and Stripe. Your use of those platforms is subject to their respective terms of service and policies. We are not responsible for changes, outages or policy decisions made by those third parties.
You are solely responsible for ensuring your use of the Service, your support messaging and any AI-assisted content complies with all applicable laws and platform policies.
7. Data and Privacy
Our Privacy Policy is incorporated into these Terms and explains how we collect, use and protect your data. You retain ownership of all content you upload to the platform. By uploading content, you grant us a limited licence to process and store that content solely for the purpose of delivering the Service to you.
You are responsible for obtaining all necessary consents from your customers for the collection and processing of their data through the Service, including compliance with GDPR, UK GDPR and any other applicable data protection legislation. As between you and us, you act as the data controller of your customers' personal data and we act as your data processor.
Where we process personal data on your behalf, that processing is governed by our Data Processing Agreement (DPA), which is incorporated into and forms part of these Terms. The DPA sets out the subject matter and duration of the processing, the types of personal data and categories of data subjects, the security measures we apply, our use of sub-processors, and how we assist you with data subject requests and breach notification.
8. Intellectual Property
The Kestry platform, including its code, design, branding and documentation, is owned by Ascendz Digital Limited and protected by intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription term.
You retain all rights to content you create and upload. We claim no ownership over your inbox configuration, knowledge base content or conversation data.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranty of any kind. We may perform maintenance, updates or modifications to the Service at any time, with or without notice.
10. Limitation of Liability
To the maximum extent permitted by law, Ascendz Digital Limited shall not be liable for any indirect, incidental, consequential, punitive or special damages arising out of or in connection with your use of the Service, including but not limited to loss of revenue, loss of data, or reputational damage.
Our total aggregate liability to you in respect of any claims under these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
11. Termination
Either party may terminate these Terms at any time. You may do so by cancelling your subscription and ceasing to use the Service. We may terminate or suspend your access immediately if you breach these Terms, fail to pay fees, or for any other reason at our sole discretion.
Upon termination, your account data will be deleted within 30 days in accordance with our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-platform notice with at least 14 days' notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
